In accordance with the provisions stipulated in the Diploma Policy of the Faculty of Economics, the objective of this course is to furnish students with the fundamental knowledge and conceptual frameworks necessary to provide a theoretical explanation of corporate governance. This theoretical underpinnings of corporate governance is predicated on the fundamental propositions of the nature of a stock company, its purpose, and its stakeholders. In particular, in Corporate Governance 1, it is imperative to comprehend the critical issues of a stock company by engaging in a discourse on the governance of a stock company.
In this course, while emphasizing active learning methods (depending on the number of students), students will learn basic theories for understanding CG in the first half of the lecture period, and from the second half of the lecture period, they will acquire basic knowledge, concepts, and theories related to corporations in a broad and systematic manner.
In particular, the basic structure of the corporation and basic issues, mainly from an institutional perspective, will be reviewed, and the characteristics of the modern corporation and its role will be focused on through the theories of new institutional economics. From the latter half of the course, lectures will be developed based on specific cases.

企業経営とそれを取り巻く経済社会との相互関連に対する理解を深めるためには、新聞を毎日読むことがとてもよい刺激になります。それだけに留まらず、様々な媒体の政治・経済・経営関連記事にも目を通し、現代の経済・経営にとって何が問題となっているのかという点にアンテナを張るように心がけて下さい。また、用語がわからないと講義を聞いても理解不足に陥ります。自分で使い易い経営学辞典あるいは経営学用語集を入手しておいて下さい。
本講義は経済学部のディプロマポリシーに基づき、株式会社とは何か、何のために存在するのかならびに誰のためにあるのかといった本源的な命題の下、企業統治に関して理論的に説明できるようになるための基底的知識と考え方を涵養することを目的としています。とりわけコーポレートガバナンス論1では、株式会社の統治についての議論を通じて、株式会社の本質的課題を理解することが重要になります。

本講義では、（受講人数にもよりますが）アクティブラーニングの手法を重視しつつ、講義期間の前半ではCGを理解する上での基本的理論を学び、講義期間後半からは企業に関する基礎的な知識、概念ならびに理論等を広く体系的に習得します。
特に、企業の基本的構造、主として制度上の観点からの基本的課題事項の整理を行い、その上で現代企業の特質とその役割に新制度派経済学の理論を通じて焦点を当てます。後半からは具体的なケースをもとに講義を展開します。
