【Course Objectives】

Nowadays, all companies are conducting global business. In this lecture, we will first understand basic matters such as the role of legal and intellectual property departments in companies, the importance of contracts and contract negotiations, and their roles (non-disclosure agreements, intellectual property license agreements, etc.), and then avoid disputes. Students will acquire practical knowledge in a wide range of areas, including how to effectively negotiate contracts and how to respond in the event of a dispute.

【Course Contents】

① Regarding collaboration between companies (licenses, joint development, outsourcing, JV, M&A)
② Understanding of global business schemes and legal issues that exist in business
③ Read specific business cases and consider the optimal collaboration scheme to achieve business objectives.
④ Contract negotiations such as license contract negotiations, understanding of contracts, and practice of specific contract negotiations
⑤ How to resolve disputes in the event of a violation of a contract between companies.
⑥ In addition, actual business cases that have occurred will be brought up in a timely manner and utilized in lectures.
