The main objective of this course is to expose students, from both an academic and practical perspective, to a number of areas of law that lawyers working on cross-border transactions deal with. By the end of the course, students should be aware of many of the issues that arise in corporate law transactions, as well as how these issues are resolved.
This course will focus mostly on corporate law matters, but will also cover specialized areas of law and litigation and dispute resolution. Depending on availability, there may be several guest speakers to further expose students to how the law is actually practiced and how lawyers in different jurisdictions all work together to help clients achieve their business objectives.

Students are strongly encouraged to do all of the assigned readings for each week ahead of class. The lectures will provide context to the readings and will cover the most important points, but will not cover all of the information in the readings. Any information in the readings may be included on quizzes and the final test. Presentation materials may be provided; however, students should also take their own notes.

Except for extenuating circumstances, all students must attend at least 2/3 of the lectures in order to earn credit for the course. There will be several quizzes starting from the third week of class. They will cover the information discussed in the class. The midterm quiz will be an in-class multiple choice test covering information discussed in weeks 1-6. The final quiz will be a closed-book quiz covering all topics in the course. If students have (a) done and reviewed all of the readings, (b) reviewed and understood the answers to the quizzes, (c) attended all of the lectures and (d) taken and reviewed class notes, they should be prepared for the final test. |
