By the end of this course, students should acquire a foundational understanding of the international legal frameworks and legal principles governing international business transactions. Students will become familiar with the key legal rules, instruments, and practices that regulate cross-border trade, investment, and corporate activities, including international sales, transportation of goods, payment mechanisms, foreign direct investment, licensing, joint ventures, and mergers and acquisitions.
By studying selected topics in international business law, students are expected to develop the ability to identify legal issues arising in international business transactions, understand the role of contracts and regulatory regimes in managing cross-border business risks, and recognize the legal responsibilities of corporations operating globally in the twenty-first century. The course also aims to introduce students to additional legal challenges such as competition law, anti-bribery regulations, corporate social responsibility, and dispute resolution mechanisms.
In this course, students will study the basic structure and operation of international commercial law as it applies to cross-border transactions. The course covers the legal rules and commercial practices governing international sales of goods, carriage and insurance of goods, and international payment systems, including letters of credit. Students will examine how contractual agreements such as the letter of intent, licensing agreements, joint ventures, and technology transfer agreement are used to structure and facilitate cross-border business activities.
In addition, the course addresses legal issues related to foreign direct investment, cross-border mergers and acquisitions, and corporate cooperation across national borders. Regulation topics such as competition law, anti-bribery legislation, and corporate social responsibility will be introduced to provide students with an understanding of the legal and ethical constraints placed on businesses operating internationally. The course also considers dispute settlement mechanisms and the professional role of lawyers in resolving international commercial disputes.

Participation: Class attendance, participation, and preparation are expected. If you are unable to attend class, please contact me by email before absences occur, or as soon as possible after class starts if you have an unexpected emergency. Unauthorized absences will be considered in calculating a student’s class participation score. Please note that all students must attend at least 2/3 of the
lectures in order to earn credit for this course.
Midterm: The midterm will be held during the time of the class on week 7 and will cover material discussed during the first half of the course. If students have (a) done and reviewed all of the readings, (b) attended all of the classes, (c) taken and reviewed notes and (d) actively participated in each class, then they should be prepared for the midterm.
Final test: The final test will be held during the time of the final class and will cover material discussed during the entire course. If students have (a) done and reviewed all of the readings, (b) attended all of the classes, (c) taken and reviewed notes and (d) actively participated in each class, then they should be prepared for the final test.
Guest Lectures: If scheduled, students are strongly encouraged to attend guest lectures. Any information presented during guest lectures may be included on midterm and/or the final test.
Syllabus: The syllabus represents current plans and objectives for each week, but as we go through the semester, the plans may need to be changed to maximize the class learning opportunity. Such changes, if necessary, will be clearly conveyed to the class.
A suitable English language proficiency level is a minimum of IELTS 6.0 or equivalent.
