The main objective of this course is to expose students to the theoretical and practical considerations of various areas of law that commonly arise in cross-border transactions. By the end of this course, students should acquire a basic understanding of the legal frameworks governing business entities, corporate governance, commercial transactions, regulatory compliance, and dispute resolution in an international context.
By covering multiple practice areas, including M&A, capital markets, real estate, technology transactions, this course aims to help students identify typical legal issues faced by corporations engaged in cross-border transactions. Students are also expected to develop a basic awareness of how legal professionals analyze, structure, and resolve these issues in practice, as well as the professional responsibilities of lawyers advising clients in cross-border transactions.
This course focuses on corporate law matters and related issues that are typically encountered in cross-border transactions. Students will study the legal characteristics of business entities and corporate governance structures, with particular reference to Delaware law, and examine how these structures affect commercial and strategic decision-making. The course also introduces legal issues arising in commercial transactions, regulatory compliance, and government oversight, including employment law, environmental regulations, and antitrust law.
In addition, this course covers major transactional practice areas that lawyers often handle in cross-border transactions. Legal dispute resolution mechanisms, litigation processes, and issues of professional responsibility are also addressed to provide students with a comprehensive overview of the legal environment surrounding cross-border business activities.
Depending on availability, guest lectures by legal practitioners working in Japan may be included to offer practical insights into how lawyers advise clients and help them achieve business objectives in cross-border transactions.

A suitable English language proficiency level is a minimum of IELTS 6.0 or equivalent. Students do not need to have taken International Business Law A to register for this course.
Participation: Class attendance, participation, and preparation are expected. If you are unable to attend class, please contact me by email before absences occur, or as soon as possible after class starts if you have an unexpected emergency. Unauthorized absences will be considered in calculating a student’s class participation score. Please note that all students must attend at least 2/3 of the lectures in order to earn credit for this course.
Guest Lectures: If scheduled, students are strongly encouraged to attend guest lectures. Any information presented during guest lectures may be included on the final test.
Final test: The final test will be held during the time of the final class and will cover material discussed during the entire course. If students have (a) done and reviewed all of the readings, (b) reviewed and understood the answers to the midterm, (c) attended all of the classes, (d) taken and reviewed notes and (e) actively participated in each class, then they should be prepared for the final test.
Syllabus: The syllabus represents current plans and objectives for each week, but as we go through the semester, the plans may need to be changed to maximize the class learning opportunity. Such changes, if necessary, will be clearly conveyed to the class.
