The objectives of this course are:
- to develop students' ability to explain their knowledge of law in English;
- for students to learn basic knowledge of corporations and corporate law, especially corporate governance; and
- for students to understand the relationship between law and society.
This course will provide an introduction to Japanese corporations and corporate law, especially corporate governance. Because corporations play an important role in Japanese society and economy, it is necessary for students studying law and business to understand the basic knowledge of legal rules on corporations.
This course will be divided into two parts: the first part provides a general introduction to law and regulations on corporations and corporate governance, and the second part covers basic knowledge of Japanese legal rules on corporate governance.
The instructor will provide concise handouts and/or reading materials for each class. Students are expected to read them before the class. Besides, students are encouraged to ask questions and participate in class discussions.
*The instructor will give a paper explaining the more detailed course contents and schedule in the first week of class. Some topics for learning and/or their order may be different than the topics listed in the course schedule in this syllabus.
