By the end of this course, students should acquire a basic understanding of the practical and theoretical aspects of laws governing corporations in the United States. Students will become familiar with the legal structure of corporations, including corporate formation, the role of agency relationships, and the allocation of authority and responsibility among directors, officers, and shareholders.
By studying corporate governance, fiduciary duties, securities regulation, and M&A, this course aims to provide students with an understanding of how U.S. corporate law regulates the internal and external affairs of corporations. By the conclusion of this course, students should be able to identify key legal issues in corporate decision-making, understand the policy rationales underlying corporate law, and develop a foundational framework for analyzing corporate legal problems.
In this course, students will receive an overview of the core legal principles governing corporations in the United States. The course begins with the basic characteristics of corporate formation, followed by an examination of agency law and the roles of directors, officers, and shareholders within the corporate structure. Students will study how corporate governance mechanisms allocate power and responsibility, as well as the legal duties and liabilities of corporate actors.
The course also addresses broader theoretical and regulatory issues, including the economic and legal reasons why companies exist, securities regulation, corporate social responsibility, executive compensation, and M&A. Comparative perspectives will be introduced to highlight differences between U.S. corporate law and other legal systems.

Participation: Class attendance, participation, and preparation are expected. If you are unable to attend class, please contact me by email before absences occur, or as soon as possible after class starts if you have an unexpected emergency. Unauthorized absences will be considered in calculating a student’s class participation score. Please note that all students must attend at least 2/3 of the lectures in order to earn credit for this course.
Final test: The final test will be held during the time of the final class, and will cover material discussed during the entire semester. If students have (a) done and reviewed all of the readings, (b) reviewed and understood the answers to the midterm, (c) attended all of the classes, (d) taken and reviewed notes and (e) actively participated in each class, then they should be prepared for the final test.
Syllabus: The syllabus represents current plans and objectives for each week, but as we go through the semester, the plans may need to be changed to maximize the class learning experience. Such changes, if necessary, will be clearly conveyed to the class.
