Students will grasp the cutting-edge issues that are currently being discussed in the fields of company law and the Financial Instruments and Exchange Act, and understand what kind of debates are being held. Specifically, students will be asked to choose articles and court cases of interest from Junkan Shoji Homu, one of the magazines often read by experts in the field of business law, and report and discuss the content of these.
In addition to understanding the latest topics related to company law and the Financial Instruments and Exchange Act, the aim is to foster the ability to conduct research and analysis independently, the ability to summarize and report on the content in an easy-to-understand manner, and the ability to deepen one's own ideas and propose solutions through discussion with others.
We aim to make this seminar a meaningful experience for students who are aiming to become researchers in the field of commercial law, or who are aiming to work in the future in financial institutions, the legal departments of business corporations, financial and economic consulting companies including M&A, business lawyers, certified public accountants, economic government agencies such as the Financial Services Agency, the Ministry of Justice, and the Ministry of Economy, Trade and Industry, economic organizations such as the Japan Business Federation and the Tokyo Stock Exchange, etc.
As this is a highly specialized seminar, I recommend that you have already taken the Commercial Law (1) (2) and Financial Instruments and Exchange Law lectures.
From among the articles in the Junkan Shoji Homu, a magazine that is widely read by experts in the field of business law, students will select articles and court cases that interest them, and then report on and discuss the content of these articles.

選考方法／レポート（題目・字数：図書館に所蔵されている最近の旬刊商事法務の中から関心のある論文や判例を選び、その理由を1200字程度で説明してください。）
演習論文／実施しない
ビジネスローのうち会社法・金融商品取引法の分野で話題となっている最先端の課題を把握し、どのような議論がされているのかを理解する。具体的には、ビジネスロー分野の専門家の間でよく読まれている雑誌の一つである旬刊商事法務の中から、関心のある論文や判例などを受講生に選んでもらい、その内容について報告・検討を行っていく。
会社法・金融商品取引法に関する最先端の話題を理解することに加え、自ら調査・分析する力や、その内容を分かりやすく要約し報告する力、他者との議論を通じて自らの考えを深め解決策を提案する力などを育むことを目標とする。
将来、金融機関や事業会社の法務部、Ｍ＆Ａを含めた金融経済系のコンサルティング会社、ビジネスローヤーや公認会計士、金融庁・法務省・経済産業省などの経済官庁、経団連や証券取引所などの経済関連団体、商法分野の研究者などを目指している学生にとって有意義な内容のゼミとしたい。
なお、専門性が高いゼミとなるため、商法（１）（２）や金融商品取引法の講義を受講しておくことを推奨する。
