The objectives of this seminar are to acquire a practical understanding of business law, including, but not limited to the Companies Act, (an understanding of how the provisions and rules of business law are applied and used, etc. in practice) while mastering the abilities to inquire, conduct legal research, draft documents, give presentations, etc. required for practice.
First, the lecturer will give lectures from practical perspectives outlining the specific types of work for M&A performed by corporate lawyers. Thereafter, the students will actually experience those basic tasks based on specific hypothetical cases with the lecturer providing comments and guidance as necessary. The students are planned to experience team-based group work and the work in which multiple laws and ordinances, including the Financial Instruments and Exchange Act, Anti-monopoly Act, Labor Law, and stock exchange regulations, in addition to the Companies Act, become a problem.

会社法をはじめとする企業法について実務的な理解（企業法の条文・ルールが実務においてどのように適用・使用されているのか等の理解）を得るとともに、実務に必要な質問能力、法律調査能力、文書作成能力、プレゼンテーション能力等を習得してもらうことを目標とする。

企業法務の弁護士が行うM&Aの具体的な作業内容について、まず講師からそれらについて実務的な観点から概説する講義を行った上で、具体的な事例に基づき、受講者にその基本的な作業を実際に体験してもらい、それに対して適宜講師からコメント・指導等を行う。チームでの共同作業や、会社法に加え、金融商品取引法、独占禁止法、労働法、証券取引所規則等の複数の法令等が問題になる作業も体験してもらう予定である。
