Based on international sales contracts in English, we will study methods of transaction risk analysis and legal information collection. We will also study legal issues and mechanism about international construction contracts, international financing contracts, and business acquisition contracts, exchange opinions among participants, and deepen our intellectual curiosity required as international inhouse counsel. We will also study the latest trends in practice, such as legal intelligence and legal-tech.
As an introduction, we will study methods and processes of fact check, risk analysis, contract drafting, and negotiations with counterparty that are necessary when engaging in corporate legal affairs as inhouse counsel. Based on the Anglo-Saxon model international sales contract in English, we will present and exchange opinions on risk analysis, applicable laws and key points regarding the assignment to each participant. In addition to issues that are directly related to contract clauses, we will also pay attention to compliance areas such as antitrust laws, anti-bribery laws, security trade and sanctions laws, and make presentations and exchange opinions. Applying the basic learning, we will also examine the location of risks and appropriate risk allocation methods in international construction contracts, international financing contracts, and business acquisition contracts.
The presenter will prepare its presentation in advance based on the suggested points and other reference materials. Other participants exchange opinions on the presentation. We will foster our own intellectual curiosity through mutual exchange of opinions, and obtain awareness and knowledge of corporate legal affairs as inhouse counsel.
We will deepen understanding of corporate legal activities such as dispute resolution, compliance and risk management as well as review of contracts. In addition to the latest status of Anglo-American law, we will also study intelligence on legal systems and enforcement trends that are built on concepts that differ from Anglo-American law, such as Japanese law, Chinese law, and Islamic law. Furthermore, we will study the trend of legal tech that supports the efficiency and sophistication of services as inhouse counsel. In every session, we will discuss on the recent topics in the daily news regarding corporate legal affairs.

「発表と意見交換」の回では、各参加者が担当箇所に関して事前に関係法令や法的論点などを検討してプレゼンテーションを行う。他の参加者も積極的に意見交換に参加できるように予習・復習する。また、「講義中心」「講義と意見交換」の回では、担当教官からの講義を中心とするが、参加者も積極的な意見交換のために予習・復習する。普段より企業法務に関するニュースにアンテナを立ててもらい、好奇心を持って検討してもらう。

資料の配布、課題提出などで「Canvas LMS」を使用するとともに、授業中のネット検索を奨励するため、授業にPCを持参すること。

英文の国際売買契約をもとに取引リスク分析・法務情報収集の手法に触れつつ、国際建設請負契約・国際融資契約及び企業売買契約に関する関連法規・仕組み・法的論点について参加者間にて意見交換を行い、国際企業法務において必要とされる知的好奇心を深めてもらう。法務インテリジェンス、リーガルテックなど実務上の最新動向にも触れる。
Based on international sales contracts in English, we will study methods of transaction risk analysis and legal information collection. We will also study legal issues and mechanism about international construction contracts, international financing contracts, and business acquisition contracts, exchange opinions among participants, and deepen our intellectual curiosity required as international inhouse counsel. We will also study the latest trends in practice, such as legal intelligence and legal-tech.
導入として企業法務に従事するに際して必要となる事実確認・リスク分析・契約書作成・相手方交渉の方法・過程を確認する。アングロサクソンモデルの英文国際売買契約書をもとに、参加者に割り当てられた箇所について関係するリスク分析、適用される法律、交渉上の勘所・論点などを発表して意見交換を行う。また、契約条項が直接に触れている部分に限らず、独占禁止法、贈収賄防止関連法規、安全保障貿易・制裁関連法規などのコンプライアンスの領域にも目配りして発表して意見交換を行う。基本的な学びを応用して、国際建設請負契約・国際融資契約・企業買収契約におけるリスクの所在や適切なリスク分配方法についても検討する。
なお、発表者は、予め配布予定のポイントや参考文献などをもとに発表を準備する。他の参加者も、各発表内容に関して意見を取り交わす。互いの意見交換を通じて知的好奇心を醸成し、企業法務に関する意識・知識を体感する。
契約審査のみならず、紛争処理やコンプライアンス・危機管理といった企業法務活動についても理解を深める。英米法の最新状況に加えて、日本法・中国法・イスラム法など英米法と異なる概念で構築される法制・執行状況についてのインテリジェンスや、法務業務の効率化・高度化を支えるリーガルテックの活用状況についても理解する。また、毎回、企業法務に関する最新ニュースを題材として意見交換を行う。
