(1) To acquire an understanding of the fundamental aspects of corporate law by examining concrete case studies of small-scale businesses.
(2) To improve information search and literature research skills
(3) To improve presentation skills
This course will focus on small-scale businesses, such as locally rooted family businesses, and will examine themes including capital contributions, choice of business entity, related-party transactions, and business succession. In particular, it will explore what kinds of needs arise with respect to financing, organizational form, and transactional structures when a new company is established and a business is launched, as well as when that business is developed and passed on to the next generation. The course will analyze how Japanese corporate law responds to these needs, and where it may fail to do so.
In the spring semester, the course will primarily consist of reading and discussing academic literature, including analyses from other disciplines such as economics. In the fall semester, students will conduct case law studies based on dispute cases related to these themes.

商法(1)(2)の授業を聴講済みであることが望ましいが、聴講済みであるか否かにかかわらず、会社法の基本的知識について一定程度自習が必要になる。
課題の提出、レジュメの共有のためにGoogle ClassroomとGoogleドキュメントを利用する。授業にもタブレットかPCを持参することが望ましい。

今年度は、地域に根ざしたファミリービジネスなど、小規模事業を念頭に、「出資」「企業形態選択」「関係者間取引」「事業承継」などをテーマとして取り上げる。新たに会社を立ち上げてビジネスを始める場合、またそのビジネスを発展し、次の世代へ受け渡していく場合に、資金や企業形態、取引の在り方についてどのようなニーズがあるのか。そうしたニーズに会社法がどのように対応しているのか、あるいは対応できていないのかを調査・分析する。
春学期は経済学など他分野における分析を含めた文献講読を中心として行い、秋学期はそれらのテーマに関連する紛争事例をベースに判例研究を行う。
