By examining English language non-disclosure agreements and international sales contracts, participants will engage with methodologies for transaction risk analysis and legal information gathering, while also exchanging views on relevant regulatory frameworks, institutional mechanisms, and legal issues. This process aims to cultivate the intellectual curiosity indispensable for the study and practice of international business law.
As an introduction, the course examines the methods and processes required for corporate legal practice, including fact finding, risk analysis, contract drafting, and negotiation with counterparties. Using an Anglo American style international sales contract in English as the primary reference, participants will present and discuss the risk analyses, applicable laws, and key negotiation considerations relevant to the provisions assigned to them. Discussions will extend beyond the clauses directly addressed in the contract to encompass broader compliance domains, such as antitrust law, anti bribery and corruption regulations, and export control and sanctions regimes.
Presenters prepare their analyses in advance on the basis of distributed guidance points and reference materials, while other participants engage in critical discussion of each presentation. Through these exchanges, participants cultivate intellectual curiosity and develop a practical awareness and understanding of corporate legal affairs.
In addition to contract review, the course deepens understanding of other core areas of corporate legal practice, including dispute resolution, compliance, and crisis management, while also providing an opportunity to experience the use of generative AI in enhancing the efficiency of contract‑review tasks. Each session further incorporates discussion of recent news related to corporate legal practice.

企業法務の世界を題材とするため、企業活動に好奇心を持つことを前提とする。
できる限り議論の時間をとるため、相手の言い分を聴きながら、自分の分析・意見を主張する、設えと構えを取ることを求める。
資料の配布、課題提出などで「Canvas LMS」を使用するとともに、授業中のネット検索を奨励するため、授業にPCを持参すること。
英文の秘密保持契約、国際売買契約をもとに取引リスク分析・法務情報収集の手法に触れつつ、関連法規・仕組み・法的論点についても参加者間にて意見交換を行い、国際企業法務において必要とされる知的好奇心を深めてもらう。

This process aims to cultivate the intellectual curiosity indispensable for the study and practice of international business law.
導入として企業法務に従事するに際して必要となる事実確認・リスク分析・契約書作成・相手方交渉の方法・過程を確認する。アングロサクソンモデルの英文国際売買契約書をもとに、参加者に割り当てられた箇所について関係するリスク分析、適用される法律、交渉上の勘所・論点などを発表して意見交換を行う。また、契約条項が直接に触れている部分に限らず、独占禁止法、贈収賄防止関連法規、安全保障貿易・制裁関連法規などのコンプライアンスの領域にも目配りして発表して意見交換を行う。
なお、発表者は、予め配布予定のポイントや参考文献などをもとに発表を準備する。他の参加者も、各発表内容に関して意見を取り交わす。互いの意見交換を通じて知的好奇心を醸成し、企業法務に関する意識・知識を体感する。
契約審査のみならず、紛争処理やコンプライアンス・危機管理といった企業法務活動についても理解を深める一方、生成AIを利用した契約審査業務の効率化についても体験してもらう。また、毎回、企業法務に関する最新ニュースを題材として意見交換を行う。
