As an advanced application of contract review, participants will conduct risk analysis for infrastructure projects, and exchange views on the impact of geopolitical risks on corporate activities and possible responses. Through these discussions, they will deepen the intellectual curiosity required in international corporate legal practice.
As an introduction, participants will review the methods and processes required for corporate legal practice, including fact-finding, risk analysis, contract drafting, and negotiation with counterparties. Participants will also present and exchange views on risk analysis related to large-scale and complex infrastructure projects, applicable laws, and key negotiation points and issues. In addition, participants will examine and discuss the impact of geopolitical risks on corporate activities, focusing on export controls, economic sanctions, and investment regulations imposed by states. Particular attention will be given to various U.S. regulations, with reference to recent political and economic developments, including concrete examples such as U.S.–China tensions and sanctions against Russia.
Presenters will prepare their presentations based on key points and reference materials distributed in advance. Other participants will also exchange opinions on each presentation. Through these discussions, participants will cultivate intellectual curiosity and gain practical awareness and knowledge of corporate legal affairs. Each session will also include a discussion based on the latest news related to corporate law.

企業法務の世界を題材とするため、企業活動に好奇心を持つことを前提とする。
できる限り議論の時間をとるため、相手の言い分を聴きながら、自分の分析・意見を主張する、設えと構えを取ることを求める。
資料の配布、課題提出などで「Canvas LMS」を使用するとともに、授業中のネット検索を奨励するため、授業にPCを持参すること。
契約審査の応用編としてインフラプロジェクトのリスク分析を試みるとともに、地政学リスクの企業活動に対する影響及び対応について参加者間にて意見交換を行い、国際企業法務において必要とされる知的好奇心を深めてもらう。
As an advanced application of contract review, participants will conduct risk analysis for infrastructure projects, and exchange views on the impact of geopolitical risks on corporate activities and possible responses. 導入として企業法務に従事するに際して必要となる事実確認・リスク分析・契約書作成・相手方交渉の方法・過程を確認し、大規模かつ複雑なインフラプロジェクトに関係するリスク分析、適用される法律、交渉上の勘所・論点などを発表して意見交換を行う。また、地政学リスクが企業活動に与える影響として、国家による輸出管理、経済制裁、投資管理の内容を把握して意見交換を行う。特に米国による各種制裁内容に着目し、直近の政治経済状況を踏まえて、米中対立、ロシア制裁などの具体例に目配りする。
なお、発表者は、予め配布予定のポイントや参考文献などをもとに発表を準備する。他の参加者も、各発表内容に関して意見を取り交わす。互いの意見交換を通じて知的好奇心を醸成し、企業法務に関する意識・知識を体感する。また、毎回、企業法務に関する最新ニュースを題材として意見交換を行う。
