The course will expose students to the theoretical and practical considerations of real estate transactions. By the end of this seminar, students should acquire an understanding of the legal concepts governing real property and the transactional processes involved in the acquisition, leasing, financing, operation, and ownership of real estate in the United States.
This course also aims to familiarize students with regulatory considerations, including environmental laws and hazardous materials issues, and to provide a comparative perspective where appropriate. By the conclusion of this seminar, students should be able to recognize key legal risks in real estate transactions and understand how legal professionals manage and resolve these issues in practice.
In this seminar, students will examine laws relating to the buying, selling, leasing, and financing of real estate, with a primary focus on commercial real estate transactions in the United States.
The course begins with an introduction to the concept of property and the legal framework governing real property ownership. Afterwards, students will study the structure and negotiation of real estate purchase and sale agreements, leasing agreements, and financing and lending agreements. Practical aspects of real estate practice, including deal management, closings, and post-closing considerations, will also be addressed. In addition, this seminar covers regulatory and compliance issues such as environmental laws and hazardous materials that affect real estate development and operations. Selected readings and discussions will be used to deepen students' understanding of contemporary real estate issues. While the primary focus will be on U.S. real estate transactions, comparative references to real estate practices in Japan will be introduced.
Depending on availability, guest lecturers with practical real estate experience may be invited to share insights.

Students are strongly encouraged to do all of the assigned readings for each week ahead of class and come to class ready to ask questions and share their opinions. I expect students to share their ideas and debate in class.

A suitable English language proficiency level is a minimum of IELTS 6.0 or equivalent.
Participation: Class attendance, participation, and preparation are expected. If you are unable to attend class, please contact me by email before absences occur, or as soon as possible after class starts if you have an unexpected emergency. Unauthorized absences will be considered in calculating a student’s class participation score. Please note that all students must attend at least 2/3 of the lectures in order to earn credit for this course.
Guest Lectures: If scheduled, students are strongly encouraged to attend guest lectures.
Student Presentation: Students will be required to make a 45-minute individual or group presentation (depending on how many students register to take this seminar) in front of the class about a topic that we covered during this seminar. After the presentation is finished, the presenter(s) will be asked questions from the other students and me. Students will be graded based on their level of preparation and presentation, as well as the quality of their written materials.
Final Report: Students will be expected to write a report covering a topic we discussed in class. Details will be discussed in class.
Syllabus: The syllabus represents current plans and objectives for each week, but as we go through the semester, the plans may need to be changed to maximize the class learning experience. Such changes, if necessary, will be clearly conveyed to the class.
