【Course Objectives】

The purposes of this course are to (1) help students deepen their understanding of Japan's Companies Act and, in particular, (2) to provide an overview of the Stock Corporation Act along with its application in business practice.

【Course Contents】

This course aims to cover the Companies Act, particularly the Stock Company Act (especially on Equity, Corporate Governance, Dividends and Distributions, and Formation Procedures). Japanese economic fluctuations and globalization have also exerted a significant impact on areas related to the Companies Act. When thinking about what types of systems are compatible with Japan's legal frameworks for corporate organizations, first, they must be evaluated from various perspectives, for instance: "How do you recognize the present situation of corporations that are currently developing businesses?" "How do you construct theories that support the corresponding legal frameworks?" This course focuses on multifaceted examination of the issues described above to develop students' ability to discern accurately gains and losses of relevant persons with respect to corporations.
