The purpose of this lecture is to acquire basic knowledge and deepen understanding of the contents of financing, organizational restructuring, and general rules of the Companies Act of Japan.
This lecture deals with financing, organizational restructuring, and general rules of the Companies Act of Japan.
Changes in the Japanese economy and globalization have had a major impact on the legal areas related to the Companies Act.
What is important in considering what kind of corporate law system is suitable for Japan is how to recognize the actual situation of the corporations that are actually developing business and how to build a theory that supports legal discipline.
In this lecture, through understanding the basic legal provisions and important precedents, we would like to cultivate an eye to identify the interests of the parties concerned with the corporation from the above-mentioned multifaceted perspectives.

本講義では、我が国の会社法とりわけ株式会社法のうち、資金調達と組織再編および会社法総則の内容について、その基本的な知識を修得し、理解を深めることを目標とする。

本講義は、我が国の会社法、特に株式会社法から資金調達、組織再編、および会社法総則を扱う。我が国経済の変動、そしてグローバル化は、会社法関連法領域にも大きな影響を与えてきた。そもそも企業組織をめぐる法的規律について、どのようなシステムが我が国に適合的であるかを考えるにあたっては、現に事業を展開している株式会社の実態をいかに認識するか、あるいはこれに対する法的規律を支える理論をいかに構築するか等、様々な観点からの検討が必要である。
本講義では、基本的な条文知識および重要判例の理解を通じ、以上のような多面的な観点から株式会社をめぐる関係者の利害得失を見極められる目を養うことを目的とする。
