The purposes of this course are for students to understand (1) where unique features of Japanese commercial transactions lie; (2) what types of legal issues occur; and (3) to cultivate the ability to think.
This course mainly focuses on Commercial Code in the narrow sense of Business Law in the broad sense.This course aims to cover specific legal texts including general provisions defined in the Commercial Code and the Companies Act, the commercial transaction regulations defined in the Commercial Code, and the provisions concerning contracts defined in the Civil Code. This course uses not only these provisions but also cases from judicial precedents and contract practices in actual companies as materials to provide explanations.

本講義では、どのような点にわが国の商取引の特徴があり、そこでどのような法律問題が生じているのか等について理解し、考察する力を涵養することを目標とする。
The purposes of this course are for students to understand (1) where unique features of Japanese commercial transactions lie; (2) what types of legal issues occur; and (3) to cultivate the ability to think.
本講義は、広い意味での商法（Business Law）のうち、狭い意味での商法（Commercial Code）を主に対象とする。具体的な法文としては、商法・会社法に規定された総則規定、商法に規定された商行為規定、そして民法に規定された契約に関する規定などがある。本講義では、これらの条文を取り上げるとともに、判例や契約実務なども素材として、説明を加えていくこととしたい。
