The aim of this seminar is to cultivate a basic and practical legal interpretation ability through examination of the latest important judicial precedents on corporate law.
Case law in corporate law is often very complex. Even in famous cases that you might have heard the news, it is not always known what the legal issues were. In this seminar, we will take up some relatively recent cases, investigate and explain the background to the disputes in detail, and analyze what became the points of contention and whether what the court proposed was appropriate as a solution for the case. The topics to be covered will be diverse, but we will consult with the participants on the subjects they are interested in, such as corporate governance, mergers and acquisitions, and protection of minority shareholders. Participants are expected to be interested not only in legal theory but also in economic and social issues.

会社法の重要判例を検討することにより、基本的かつ実践的な法律解釈論を身につけることを目標とする。
The aim of this seminar is to cultivate a basic and practical legal interpretation ability through examination of the latest important judicial precedents on corporate law.
会社法の判例は複雑な事例であることが多い。社会を騒がせた有名な事案であっても、法的な論点が何であったのかは知られていない場合もある。本演習はいわゆるケーススタディとして、比較的最近の会社法の判例・裁判例をいくつか取り上げ、紛争に至る背景を詳細に調査・解説し，何が争点となったか、解決方法として裁判所が提示した内容は妥当であったのかなどを分析する。扱う内容は多岐にわたるが、企業不祥事と内部統制システム、M&Aと少数株主保護など、参加者の関心対象を調査した上で題材を相談する。参加者は法律論のみならず広く経済社会に興味を持って取り組むことが望まれる。

すでに商法（1）（2）の授業を履修済みであるか、並行して履修していることが望まれる。
