The goals for the participants is (1) to be able to understand basic functioning and the relevant legal framework of the financial and capital markets as well as recent market topics, and (2) to enhance ability to apply the knowledge to practical cases and the ability to explore solution in a difficult situation by discussing causes of and responses to the specific accounting and disclosure violation cases.
This seminar starts with learning the basics of the Financial Instruments and Exchange Act (“FIEA”), corporate governance requirements and accounting and auditing requirements. Then participants are expected to present on actual accounting and disclosure violation cases, followed by the discussions among the participants. Guest lecturer may be invited in part of the seminar.

本演習は、①金融・資本市場の仕組みや金融商品取引法等の関連する法制度、市場を巡る近時の環境変化等について理解すること、及び②著名な会計・開示不正事例について学び、不正の原因や改善策等について論じることで、理論の実務への応用や課題への対応能力を高めることを目指している。

本演習では、まず、金融商品取引法の基本的枠組みやコーポレートガバナンス改革、会計・監査の仕組み等について関連資料を用いて理解する。さらに、これらの観点を踏まえて、実際の企業開示不正事例について、学生による報告及びそれを踏まえた議論を行う。また、関連分野の実務者等をゲストとして招待することも検討している。
