The objective of this course is to cultivate the ability for understanding and interpretation of dividend distribution by capital surplus and retained earnings, and to deepen the understanding of recent cases.
Students will deepen their understanding by reading textbooks and articles, attending lectures related supreme court judgement on May11,2021:taxation on dividend distribution by capital surplus and retained earnings.

資本剰余金を原資とする配当をいかに規律するか。これは2001年に資本剰余金からの配当の道が拓かれて以降、その時々の税制において重要な課題になっている。本講義では、混合配当をめぐる税務論点を整理し、今後の議論の素材を提供する。
The objective of this course is to cultivate the ability for understanding and interpretation of dividend distribution by capital surplus and retained earnings, and to deepen the understanding of recent cases.
国際興業管理事件（最一小判令和3年3月11日裁時1763号4頁）における二つの争点（混合配当の取扱い、プロラタ計算を定める政令の違法性）について、いわゆる先後関係問題、資本払戻し部分の食い込み問題という二つの観点から詳細に分析する。また、最高裁判決では触れていない「残された課題」についても検討する。
