This course is based on the diploma policy of the Faculty of Economics, and the purpose of this lecture is to cultivate the basic knowledge of CG theory based on the fundamental propositions such as what a corporation is, what it exists for, and for whom it exists etc, through “Corporate Governance 1(2023SS)” and “Corporate Governance 2(2023AW)”.
Especially Corporate Governance 1,the purpose is to understand the essential issues of a stock corporation,through a discussion of the corporate governance.
This course emphasizes active learning. In this lecture, you will acquire basic knowledge, concepts, and theories of companies widely and systematically. Especially in “Corporate Governance 1”, you will study about the characteristics of modern enterprises and their role through approaches based on the theory of new institutional economics, as well as the basic structure of enterprises, arrangement of fundamental issues from an institutional perspective.

本講義は経済学部のディプロマポリシーに基づき、コーポレートガバナンス論1/2を通じて株式会社とは何か、何のために存在するのか、誰のためにあるのか、といった本源的な命題の下、企業統治に関して理論的に説明できるようになるための基底的知識と考え方とを涵養することが目的です。とりわけコーポレートガバナンス論1では、株式会社の統治についての議論を通じて、株式会社の本質的課題を理解することが重要になります。

本講義では、CG論1/2を通じて（受講人数にもよりますが）アクティブラーニングの手法を重視しつつ、講義期間の前段ではCGを理解する上での基本的理論を学び、企業に関する基礎的な知識、概念ならびに理論等を広く体系的に習得します。とりわけ1では企業の基本的構造、主として制度上の観点からの基本的課題事項の整理に加え、新制度派経済学の理論からのアプローチを通じて、現代企業の特質とその役割とに関して学びます。その理解のもと、後段では具体的なケースをもとに講義を展開しますので、予習は必須となります。
This course emphasizes active learning. In this lecture, you will acquire basic knowledge, concepts, and theories of companies widely and systematically.
