This course aims to provide comprehensive understanding of the basics of the Financial Instruments and Exchange Act (“FIEA”), the securities law in Japan and a fundamental framework of Japanese capital markets. Both in the context of working for a company and from the perspective of personal asset formation, participants are expected to engage with the FIEA in the future. The comprehensive understanding of the FIEA is essential in carrying out such activities.
The lecture covers background and the characteristics of the FIEA, as well as rationale and contents of such pillars of regulations as disclosure requirements, regulations on financial intermediaries, and prohibition of market misconduct. The course intends to provide not only theoretical knowledge on rules and regulations but also practical application of the FIEA, international trends, and the relevant financial regulatory and supervisory topics.

我が国の資本市場法制の大きな柱である金融商品取引法の全体像を体系的に理解することを授業の目標とする。将来、企業で働く上でも、個人の資産形成の観点からも、金融商品取引法に触れる機会は極めて多いと考えられ、金融商品取引法の全体像の理解は不可欠である。

本講義では、金融商品取引法の沿革、特徴及び全体像を理解するとともに、金融商品取引法の企業内容等の開示規制、金融商品取引業者等に関する規制及び市場における不公正取引に対する規制を中心に、制度の趣旨・内容を理解する。また、制度の学習だけにとどまらず、実際の法令適用事例や、国際的な動向、関連する金融行政の話題等にも触れる。
