. In this course, which aims to teach contract schemes and contract negotiations that are necessary for companies to do business on a global scale, the students will first understand the content of the business, then consider appropriate contract scheme that is most suitable for the business, and finally learn how to negotiate based on the contract. Actual business contract will be used so that the students will be able to understand the meanings and roles of the respective words used in contracts.
Using examples of business situations currently observed (including those created by the lecturer and those covered by news reports), the students will consider the optimal contract scheme based on understanding of the business content and engage in simulated contract negotiations. The lecturer will teach them how to understand the meanings of the clauses contained in specific contracts. The lecturer plans to invite both domestic and foreign lawyers and other specialists(including on line) as guest speakers.

企業がグローバルなビジネスを展開する上で必要な契約スキーム及び契約交渉について、まずビジネスの内容を理解し、その上で最適な契約スキームを検討し、交渉のスタイルを学ぶ。具体的な契約例も可能な限り活用し契約書の文言の意味、役割も理解出来るようにする。

現実に発生しているビジネス事案（講師作成のケース、報道されているケース等）を使用し、ビジネスの内容を理解しながら最適な契約スキームを考えて契約交渉についても講義の中で実践して見たい。また、具体的な契約書を使用しながら契約の条文も理解出来るようにする。
海外、国内問わず、弁護士さんなど有識者を招いた話(including on line)も聴く機会を設けたい。
