【Course Objectives】

(1) To study fundamental matters of corporate law
(2) To improve information search and literature research skills
(3) To improve presentation skills

【Course Contents】

We will first read Daisuke Asaoka, "Corporate Architecture" (University of Tokyo Press, 2022) as a reference work that explains what a corporation is and how it is structured, and also refers to recent corporate governance reforms. Since many parts of this book are written on the assumption that students are familiar with various systems under the Corporate Law, case studies and precedents will be conducted to fill in these contents. Research topics will be chosen by each participant according to his/her own interest, but possible examples include institutional investor engagement, index investment and common ownership, shareholder activism, takeover bids and takeover defense, and conflicts of interest in parent-subsidiary listings.

Participants will have the opportunity to report two to three times during the semester, either in groups or individually.
